1. Scope of Services

- Mining Services in Canada.
- Gold and Diamond Export.
- Gold and Diamond Trade.

- Passenger/Cargo Air & Sea Charter for precious mineral transportation.
- Bullion Delivery Van Services.
- Safe-Keeping Facilities for gold storage.
2. Eligibility for Services
- All clients must meet the eligibility requirements under Canadian law for the trade, purchase, and export of precious minerals. Proof of identity and/or business legitimacy may be required.
- Any client or entity using the Company's services must be in compliance with Canadian regulations on mineral trading and export.
3. Gold Export License Use
- The Company holds a Gold Export License (GEL) granted by the Canadian government. Only the Company, its authorized agents, or approved clients may use this license for export documentation purposes, subject to Canadian export regulations.
- Clients using the Company’s Gold Export License agree to be liable for all applicable taxes, fees, and compliance requirements for exports from Canada and any imports into other jurisdictions.
4. Purchase and Sales Transactions
- Terms: All sales are conducted under Free On Board (FOB) or Cost, Insurance, and Freight (CIF) terms, as agreed upon with the client.
- Intermediary Services: The Company provides intermediary services between buyers and sellers. Both parties must ensure that transactions adhere to international standards and Canadian regulations.
- Pricing and Payments: Pricing for gold and diamonds is set according to current market conditions and negotiated terms. Payments must be made in full according to the terms established in each purchase agreement.
5. Gold Refining, Smelting, and Assaying
- All refining, smelting, and assaying services are conducted using certified equipment and industry-standard procedures. Clients must provide accurate specifications and declare all materials accurately.
- Assaying results provided by the Company are final and will be the basis for any financial transactions relating to refined metals.
6. Precious Mineral Transportation Services
- Passenger/Cargo Air & Sea Charter: The Company offers customized charter services for transporting precious minerals. All transport services are subject to security protocols and compliance with international customs regulations.
- Bullion Delivery Van: The Company provides secure, insured bullion transportation to designated locations within Canada. Security personnel accompany each delivery to ensure the safety of the cargo.
7. Safe-Keeping Facilities
- The Company offers secure storage facilities for clients who wish to store gold with us. Clients must have an active account with the Company to use this service.
- All stored items are insured against loss or damage, and the Company takes reasonable steps to ensure secure handling and safekeeping.
8. Liability and Insurance
- The Company is not liable for any loss, theft, or damage to goods outside its custody or due to circumstances beyond reasonable control, such as natural disasters, regulatory changes, or third-party negligence.
- All shipments, storage, and handling services include security risk insurance up to an agreed amount. Additional insurance can be arranged upon client request and at the client's expense.
9. Dispute Resolution
- Any disputes arising from services provided by the Company will be governed by Canadian law. Both parties agree to attempt to resolve disputes through negotiation before seeking legal action.
- If a resolution cannot be achieved, disputes shall be settled through arbitration as per Canadian commercial arbitration rules.
10. Confidentiality
- The Company agrees to maintain the confidentiality of all client information, except as required by law or necessary for service provision.
11. Termination of Services
- The Company reserves the right to terminate or suspend services to any client found in breach of these terms or engaged in illegal activities.
